Terms of Engagement

Master Services Framework

These Terms of Engagement govern all commercial staffing relationships entered into with Alphynex Solutions Private Limited (“Alphynex”). All specific talent mandates, fee schedules, replacement guarantees, and statement-of-work (SOW) deliverables are executed via an accompanying Master Services Agreement (MSA) or formal Purchase Order.

Operational Scope

Alphynex provides corporate clients with three standard engagement vehicles:

• Contingent & Contract Staffing: Placement of pre-screened technical and commercial professionals managed under Alphynex statutory payroll and compliance infrastructure.
• Permanent Direct Placement: Full-lifecycle executive search and permanent hire placement subject to formal milestone warranties and replacement covenants.
• Turnkey Project Squads: Dedicated milestone-governed engineering pods deployed under defined delivery objectives and technical review gates.

100% Client Ownership of Work Product

In all staff augmentation and contract staffing engagements, 100% of all intellectual property, source code, designs, algorithms, patentable inventions, and documentation developed by deployed talent belongs exclusively to the client organization from inception (“work-made-for-hire”).

Every deployed engineer signs comprehensive IP assignment covenants and NDA agreements prior to onboarding.

Enterprise Non-Disclosure Covenants

Both parties agree to hold in strict confidence all proprietary business data, technical architecture documents, candidate submissions, and pricing schedules. Confidential information will not be disclosed to any third party without explicit prior written authorization, surviving engagement termination for a standard term of five (5) years.

Zero Enterprise Co-Employment Risk

Alphynex guarantees absolute statutory compliance for all contractors on our rolls, including full administration of Provident Fund (PF/EPFO), Employee State Insurance (ESIC), Professional Tax (PT), Goods and Services Tax (GST), and statutory gratuity filings under the laws of India.

Client organizations are fully indemnified against co-employment liability arising from statutory labor governance.

Quality Covenants

For permanent placements, Alphynex offers a contractual replacement warranty (typically 90 days as defined in the specific client schedule). In the rare event a placed candidate departs or fails probationary objectives, Alphynex initiates priority re-search and replacement at zero incremental placement charge.

Legal Jurisdiction

These Terms and any dispute arising from client engagements shall be governed by and construed in accordance with the substantive laws of India. The courts of competent jurisdiction at Hyderabad, Telangana, India shall have exclusive territorial jurisdiction over any legal proceedings.
